Terms of Service

1. Scope & Acceptance

These Terms govern access to and use of the Copia AI website, platform, hosted MCP server, agent runtime, and all related services (collectively, the “Service”) by business customers only. The Service is provided by HIRTE ENERGY GmbH, located at Tölzer Strasse 1, 82031 Grünwald, Germany. By clicking “I agree”, creating an account, or using the Service, you accept these Terms without modification. The Privacy Policy and Acceptable Use Policy are incorporated by reference.

Operator: HIRTE ENERGY GmbH is the company behind Copia AI / floxform. References to Copia AI or floxform in these Terms refer to the Service operated by HIRTE ENERGY GmbH.

Eligibility: Business users only. Minimum age: 18 years. You represent that you have authority to bind your organization to these Terms.

Nature of the Service: Copia AI is an integration and orchestration layer. It connects your existing third-party accounts (CRMs, email, LinkedIn, enrichment providers, and others) and enables AI agents — whether external (e.g., Claude Code, Cursor) or Copia's own agent runtime — to execute actions on your behalf through those connected accounts. Copia AI does not own, operate, or control any third-party platform.

2. Subscriptions

Model: The Service is offered on a subscription basis (“Subscription”). Different tiers (MCP Tier, Agent Tier) include different features, integrations, and usage limits as described on the pricing page at time of purchase.

Seats: Adding or removing seats results in pro-rated adjustments on the next invoice.

Term & Renewal: Subscriptions auto-renew for the same period. Fees are charged at the start of each term. Cancellation takes effect at the end of the current billing period.

Usage Limits: Your Subscription includes specific usage quotas (API calls, agent runs, actions per integration). Usage exceeding your tier limits may be throttled or require an upgrade. We reserve the right to modify tier features and limits with reasonable notice.

Reactivation: If you cancel without deleting your account, you may later reactivate under then-current terms and pricing (subject to availability).

3. Billing & Payment

Processor: Payments are handled by Stripe or another payment service provider (“PSP”). You must accept the PSP's terms; HIRTE ENERGY GmbHis not a party to that agreement.

Charges: Fees are collected automatically at Subscription start and on each renewal date. Your payment method must remain valid; otherwise we may suspend or terminate the Subscription.

Taxes / Currency: Fees are exclusive of taxes and billed in the currency shown at checkout. You are responsible for all applicable taxes.

Refunds: Fees are non-refundable, unless required by mandatory law. In particular, no refunds are issued for third-party platform actions (e.g., LinkedIn account restrictions, CRM API changes, enrichment provider outages) that reduce the utility of the Service.

4. Accounts & Credentials

You must provide accurate, complete, and current information. You are responsible for safeguarding your Copia AI credentials and for all activity under your account.

Connected Accounts: The Service requires you to connect third-party accounts (LinkedIn, email providers, CRMs, enrichment tools, etc.). By connecting an account, you represent that:

• You are authorized to grant Copia AI access to that account
• Your use of that account through Copia AI complies with that platform's terms of service
• You accept all risks associated with automated access to that account, including potential restrictions or bans imposed by the platform

Credential Storage: Credentials (OAuth tokens, API keys, session data) are encrypted at rest using AES-256-GCM and transmitted over TLS. Despite these measures, you acknowledge that no system is immune to breach. You are solely responsible for revoking credentials if you suspect unauthorized access, and for ensuring that API keys you provide have appropriate scope restrictions.

API Tokens: Your Copia API token grants access to all connected integrations. Treat it as a master credential. You are liable for all actions executed via your token, whether initiated by you, an AI agent, a team member, or any other party with access.

5. AI Agents & Autonomous Actions

How Agents Work: The Service enables AI agents to take actions on your behalf — including sending messages, creating CRM records, initiating connection requests, triggering enrichment lookups, and executing multi-step workflows. These actions may be initiated by external AI agents (via the MCP protocol) or by Copia's own agent runtime (scheduled or on-demand).

You Are Responsible for Agent Actions: Regardless of whether an action is initiated by you manually, by an external AI agent, or by the Copia agent runtime, you are the principal and bear full responsibility for every action executed through your connected accounts. This includes:

• Messages sent (LinkedIn DMs, emails, Slack messages)
• Records created, modified, or deleted in CRMs
• Connection requests and follow-up sequences
• Data retrieved from enrichment providers
• Any content generated by AI models and transmitted through the Service

AI-Generated Content: AI agents produce content (outreach copy, personalization, summaries) using third-party language models. Copia AI does not warrant the accuracy, appropriateness, legality, or non-infringement of AI-generated content. You must review AI-generated content before or promptly after transmission and are solely responsible for its compliance with applicable law, platform policies, and professional standards.

Autonomous Workflows: If you configure scheduled or autonomous workflows (e.g., daily prospecting runs), you accept that these will execute without real-time human review unless you configure approval gates. Copia AI is not liable for actions taken by autonomous workflows that you configured and activated.

MCP Protocol Access: When you expose your Copia MCP server to external AI agents (Claude Code, Cursor, or other MCP-compatible clients), those agents may call any tool your Subscription and connected accounts permit. Copia AI has no control over the decisions or behavior of external AI agents. Rate limits and action logging apply, but you accept all risk arising from external agent behavior.

6. Third-Party Platforms & Integrations

Integration Chain: The Service connects to third-party platforms through multiple backend providers (including but not limited to Unipile for LinkedIn and email, Composio for CRM and productivity tools, and direct API integrations for enrichment providers). Each layer in this chain is operated by an independent third party with its own terms, uptime guarantees, and policies.

No Affiliation: Copia AI is not authorized, sponsored, endorsed, or approved by LinkedIn, Microsoft, Google, HubSpot, Salesforce, or any other third-party platform. Use of platform names is for identification only.

Your Compliance Obligation: You must independently comply with the terms of service of every third-party platform you connect through Copia AI. If a platform prohibits automated access, automated messaging, scraping, or third-party tool integrations, you must not use the Service with that platform. It is your responsibility to monitor changes to platform terms.

Known Platform Risks: By using the Service with third-party platforms, you acknowledge and accept the following risks:

• Account suspension, restriction, or permanent ban by any connected platform
• Revocation of API access or OAuth tokens by the platform or backend provider
• Loss of data, contacts, message history, or other records on the platform
• Changes to platform APIs, rate limits, or terms that reduce or eliminate functionality
• Email deliverability issues including spam classification, blacklisting, or sender reputation damage
• Enrichment data that is inaccurate, outdated, or incomplete
• Backend provider (Unipile, Composio, or others) outages, deprecations, or discontinuation

Disclaimer of Liability: To the maximum extent permitted by law, Copia AI is not liable for any loss, damage, or consequence arising from third-party platform decisions, backend provider failures, or integration chain disruptions — including but not limited to account bans, data loss, lost revenue, lost profits, reputational harm, contractual penalties, regulatory fines, or any indirect or consequential loss. Nothing in this section limits liability for intent, gross negligence, or personal injury as mandated by applicable law.

Indemnity: You indemnify and hold harmless HIRTE ENERGY GmbH, its officers, employees, and agents from and against all third-party claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of third-party platforms through the Service; (b) actions taken by AI agents on your behalf; (c) content generated or transmitted through the Service; (d) your violation of any third-party platform terms; or (e) your violation of applicable law (including anti-spam, data protection, and outreach regulations). We will promptly notify you of claims and cooperate in the defense. Indemnity is reduced to the extent our position is worsened by late notice or non-cooperation.

7. Outreach & Communication Compliance

The Service facilitates outbound communications (email, LinkedIn messages, and other channels). You are solely responsible for ensuring that all outreach conducted through the Service complies with applicable law, including but not limited to:

• Anti-Spam: CAN-SPAM Act (US), CASL (Canada), ePrivacy Directive (EU), and equivalent local laws
• Data Protection: GDPR (EU/EEA), applicable German data protection law, CCPA/CPRA (California), and equivalent local laws — including lawful basis for processing contact data and honoring opt-out requests
• Platform Policies: LinkedIn User Agreement, LinkedIn automation policies, email provider acceptable use policies
• Advertising & Trade Practices: Laws governing truthfulness, non-deception, and fair competition in commercial communications

Email Deliverability: You are responsible for configuring DNS records (SPF, DKIM, DMARC), maintaining sender reputation, and managing bounce rates. Copia AI provides tooling to facilitate outreach but does not guarantee email deliverability or inbox placement.

Prohibited Uses: You must not use the Service for:

• Unsolicited bulk messaging that violates applicable law
• Impersonation or misleading sender identification
• Harassment, threats, hate speech, or illegal content
• Scraping or exporting data in violation of platform terms
• Circumventing rate limits, security controls, or platform restrictions
• Any purpose that violates applicable law, regulation, or third-party rights

Enforcement: We may enforce rate limits, require human-in-the-loop approval, throttle actions, or immediately suspend access for violations or suspected violations. No refund is issued for enforcement actions.

8. Data Accuracy & Enrichment

The Service may retrieve data from enrichment providers (email finders, company data, contact databases, and similar sources). Enrichment data is provided “as is” from third-party sources. Copia AI does not verify, warrant, or guarantee the accuracy, completeness, recency, or legality of enrichment data.

You are responsible for verifying enrichment data before acting on it, particularly before sending communications to enriched email addresses or phone numbers. You accept all legal risk associated with contacting individuals based on enrichment data, including potential data protection violations if the underlying data is inaccurate or unlawfully obtained by the source provider.

9. Service Availability & Dependencies

Uptime: We aim for high availability but do not guarantee uninterrupted service. The Service depends on third-party infrastructure (cloud hosting, backend providers, third-party APIs). Outages at any layer may cause partial or complete service disruption.

Dependency Risk: If a backend provider (Unipile, Composio, or any other) discontinues service, changes pricing, modifies APIs, or becomes unavailable, certain integrations may become degraded or unavailable. Copia AI will make reasonable efforts to find alternatives but does not guarantee continuity of any specific integration.

Maintenance: We may perform scheduled maintenance with advance notice. Emergency maintenance or security patches may occur without notice.

10. Termination

You may cancel at any time (effective at period end). We may suspend or terminate your account at any time for breach, suspected abuse, operational risk, security concerns, or if required by a third-party platform or backend provider.

Effect of Termination: Upon termination: (a) your access to the Service ceases immediately; (b) connected account credentials are deleted from our systems within 30 days; (c) action logs and usage data may be retained as required by law or legitimate interest (security, fraud prevention); (d) we are not obligated to export your data but may provide export functionality at our discretion.

Survival: Sections on liability, indemnity, governing law, and intellectual property survive termination.

11. Intellectual Property

Copia AI IP: The Service, including its software, MCP server, agent runtime, tool implementations, UI, and documentation, is owned by HIRTE ENERGY GmbH(or its licensors). Your Subscription grants a limited, non-exclusive, non-transferable, revocable license to use the Service during the Subscription term.

Your Data: You retain ownership of your data (contacts, content, configurations). You grant Copia AI a limited license to process your data solely for the purpose of providing the Service.

Feedback: If you provide suggestions, ideas, or feedback about the Service, you grant HIRTE ENERGY GmbH an unrestricted, perpetual, irrevocable license to use that feedback without compensation.

12. Warranties & Liability

As-Is: The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy of results, or uninterrupted operation.

No Warranty on Integrations: Copia AI does not warrant that any third-party integration will remain available, functional, or compatible. We do not warrant the accuracy of data retrieved from third-party APIs. We do not warrant that AI-generated content will be accurate, appropriate, or legally compliant.

Liability Cap: To the maximum extent permitted by law, HIRTE ENERGY GmbH's total aggregate liability for all claims arising out of or related to the Service is limited to the fees actually paid by you in the six (6) months immediately preceding the event giving rise to the claim.

Excluded Damages: To the maximum extent permitted by law, Copia AI is not liable for any indirect, consequential, incidental, special, punitive, or exemplary damages, including but not limited to: lost profits, lost revenue, lost data, lost business opportunities, reputational harm, cost of substitute services, platform account bans or restrictions, regulatory fines, or damages arising from AI agent actions — regardless of whether Copia AI was advised of the possibility of such damages.

Carve-Outs: The cap and exclusions above do not apply to: (a) willful misconduct or gross negligence; (b) personal injury; (c) liability that cannot be excluded under mandatory applicable law.

13. Changes

We may modify these Terms and/or the Service. For material changes we will provide at least 14 days' notice via email or in-app notification. Continued use after the effective date constitutes acceptance. If you do not agree, cancel before changes take effect.

14. Governing Law & Venue

These Terms are governed by the laws of Germany (excluding conflict-of-laws rules). Exclusive forum, to the extent permitted by law, is the court with jurisdiction for the registered office of HIRTE ENERGY GmbH. Mandatory consumer protection or data protection law of your jurisdiction remains reserved where applicable.

15. General

• Assignment: No assignment by you without our prior written consent; we may assign to affiliates or successors.
• Severability: If any provision is held invalid or unenforceable, the remainder continues in full force; the invalid provision will be modified to the minimum extent necessary to make it enforceable.
• Waiver: No waiver of any right unless in writing signed by the waiving party.
• Force Majeure: Neither party is liable for failure to perform due to causes beyond reasonable control, including but not limited to: natural disasters, war, government action, third-party platform policy changes, internet outages, or cyberattacks.
• Entire Agreement: These Terms, together with the Privacy Policy and any Order Form, constitute the entire agreement between you and Copia AI regarding the Service.

16. Privacy & Data Processing

You must read and accept the Copia AI Privacy Policy, which governs personal data processing.

Roles: For website/account/billing/support data, HIRTE ENERGY GmbHis controller. For customer-submitted content and contact/lead data processed through the Service, Customer is controller and HIRTE ENERGY GmbH is processor under the Data Processing Agreement (DPA).

Sub-processors: The Service relies on multiple sub-processors, including but not limited to: cloud hosting providers, Unipile (LinkedIn and email access), Composio (CRM and productivity integrations), enrichment API providers, and AI model providers (Anthropic). We maintain an up-to-date list of sub-processors and will notify you of material changes.

Data Flow: When you use the Service, your data (including credentials, contact information, and message content) may flow through Copia AI servers and through third-party backend providers to reach the target platform. Each party in this chain processes data under its own terms and data protection obligations.
